The management of SRA shall be vested in an Executive Committee consisting of not more than 9 members, including a Chair or Co-Chairs, who shall be elected at the Inaugural Meeting and thereafter annually at the Annual General Meeting. The Executive Committee shall have the power to co-opt members to fill vacancies or meet an interim need between Annual General Meetings, including the power to co-opt one or more Co-Chairs on an interim basis until the next Annual General Meeting, at which point such appointment shall be subject to election by the members. Such urgent authority may be exercised without calling an Annual General Meeting or Special General Meeting where delay would materially prejudice the ability of SRA to make representations or protect residents’ interests. Both nominated members must agree the action to be taken. Any action taken under this delegated urgent authority shall be limited to submitting objections or representations, requesting extensions of time, communicating with planning authorities, councillors, statutory bodies, residents or other relevant parties, and taking such reasonable steps as are necessary to preserve the position of SRA. The delegated authority shall not permit the nominated members to alter this Constitution, incur substantial expenditure, commence litigation, or adopt a materially new policy position without the approval of the Executive Committee or, where appropriate, members in General Meeting. Any action taken under this delegated urgent authority shall be reported to the next Executive Committee Meeting and recorded in the minutes.
